Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of www.codeflux.in (the "Site") and your engagement of services from Codeflux Digital Pvt. Ltd. ("Codeflux", "we", "us" or "our"). By using the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

1. Services

Codeflux provides web development, app development, web application development, SEO optimisation, Google Ads management, social media marketing and Meta Ads management ("Services"). Specific scope, deliverables, timelines and fees for each engagement will be set out in a separate written proposal, quote or agreement ("Order"), which forms part of these Terms once accepted by both parties.

2. Quotes and payment

• Quotes are valid for 30 days from the date issued unless otherwise stated.
• Development projects typically require an advance payment (commonly 50%) before work begins, with the balance due on or before delivery, as specified in the Order.
• Ongoing marketing services (SEO, social media, Google Ads, Meta Ads) are billed monthly in advance, unless otherwise agreed.
• Late payments may result in suspension of work or Services until outstanding amounts are settled.
• All fees are exclusive of applicable taxes (including GST), which will be added where applicable.

3. Client responsibilities

You agree to provide timely feedback, content, access to accounts and other materials reasonably required for us to deliver the Services. Delays in providing required materials may extend agreed timelines without penalty to Codeflux.

4. Advertising spend

For Google Ads and Meta Ads engagements, advertising spend is separate from our management fees and is paid directly to the relevant advertising platform via an account owned or authorised by you. We are not responsible for platform-level charges, policy decisions or account suspensions made by Google, Meta or other third-party platforms.

5. Intellectual property and ownership

• Upon full payment, you own the final website, application, source code and creative assets developed specifically for your project, excluding any third-party tools, libraries, stock assets or platforms licensed rather than created by us.
• Codeflux retains the right to use non-confidential aspects of completed work in our portfolio and marketing materials, unless you request otherwise in writing.
• Any pre-existing tools, frameworks or code libraries used in delivering the Services remain the property of their respective owners and are licensed, not sold, as part of the engagement.

6. Revisions and change requests

Each Order specifies an agreed number of revision rounds. Requests beyond the agreed scope or revision count will be quoted separately as additional work.

7. Warranties and limitations

We will perform the Services with reasonable skill and care. However:

• We do not guarantee specific search engine rankings, ad performance, follower counts or business outcomes, as these depend on factors outside our control, including third-party platform algorithms and market conditions.
• To the maximum extent permitted by law, Codeflux's total liability for any claim arising from the Services is limited to the fees paid by you for the specific Service giving rise to the claim in the preceding three months.
• We are not liable for indirect, incidental or consequential losses, including loss of profits, data or business opportunity.

8. Post-launch support

Development projects include a period of complimentary bug-fix support (typically 30 days from launch) as specified in the Order, covering defects in work delivered by us. This does not cover new features, third-party platform changes, or issues arising from changes made by you or a third party after delivery.

9. Termination

• Either party may terminate an ongoing monthly Service with 30 days' written notice.
• Fixed-scope development projects may be terminated by either party for material breach not remedied within 14 days of written notice; fees for work completed up to the termination date remain payable.
• Codeflux may suspend or terminate Services immediately for non-payment or misuse of our services.

10. Confidentiality

Both parties agree to keep confidential any non-public business, technical or account information shared during the engagement, and to use it only for the purposes of delivering or receiving the Services.

11. Governing law

These Terms are governed by the laws of India, and any disputes arising from them will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

12. Changes to these Terms

We may update these Terms from time to time; the "Last updated" date above reflects the most recent revision. Continued use of our Services after changes take effect constitutes acceptance of the revised Terms.
